The rehabilitation period is 7 years after the date the contract comes into force. The regular term of the contract is 43 years commencing after the expiration of the rehabilitation period. The overall term of the contract is 50 years from the date the contract comes into force, unless otherwise extended or terminated earlier in accordance with the contract.

LIBINC Oil Palm Inc.'s obligations with respect to the environment will be as prescribed by the laws of Liberia, including the forestry law and the environmental protection and management law of Liberia. LIBINC Oil Palm Inc. will also take reasonable measures to ensure that its activities do not cause unreasonable risks to the public health or unreasonable damage to the environment. Unless LIBINC Oil Palm Inc. can demonstrate that a particular measure is unreasonable, it will employ protective measures similar to those employed by persons in Liberia engaged in the oil palm business.

LIBINC Oil Palm Inc. will have the right to provide water for the purpose of supplying buildings and other facilities within the concession area or for conducting LIBINC Oil Palm Inc. activities. The Liberian government agrees not to charge license fee, tax or duties in connection with the exercise of this right. LIBINC Oil Palm Inc. may elect to supply surplus water to the government or other persons at market rates.

LIBINC Oil Palm Inc. will have its books of account audited within 3 months, or any longer period approved by the Minister of Finance of Liberia, after the close of each fiscal year by an independent reputable international accounting firm selected by LIBINC Oil Palm Inc. as an auditor. A copy of LIBINC Oil Palm Inc.'s annual financial statement with any management letters will be provided to the Liberian government by LIBINC Oil Palm Inc. as required by the laws of Liberia. The Liberian government may carry out its own audit of the books of account of LIBINC Oil Palm Inc., provided that LIBINC Oil Palm Inc. will be provided with a copy of the audit within 45 days of receipt. Once either LIBINC Oil Palm Inc. or the Liberian government have audited the books of account, the financial statement of LIBINC Oil Palm Inc. should be considered acceptable and the audit results binding and conclusive as its findings, unless any party will indicate the contrary within 3 years after its receipt of a copy of the audited financial statement.

The loss carried forward period will be extended for the period of 5 years starting from the first year in which LIBINC Oil Palm Inc. has taxable income under the laws of Liberia. Thereafter the laws of Liberia will apply. | During the 7 year rehabilitation period, LIBINC Oil Palm Inc. is entitled to (a) an incentive deduction of 30% of the purchase price of equipment and machinery used in the activities in the year that the qualifying asset is placed in service in addition to the incentive deductions in section 204(d) of the Liberian Revenue Code of 2000; (b) an additional 5% zonal incentive deduction on all capital expenses incurred in Grand Bass County over and above the incentive deduction allowed in Section 204(d) and (e)(2)(A) of the Liberian Revenue Code of 2000; and (c) an additional 5% incentive deduction on for investment activities provided it employees more than one thousand people in Liberia.

Management costs paid to affiliated parties will be on an actual cost reimbursement basis unless otherwise inconsistent with the laws of Liberia. Transactions with affiliated parties will be on the basis of competitive international prices and such other terms and conditions as would be fair and reasonable had the transactions taken place with unrelated parties dealing at arm's length. The export sale price to affiliates for crude palm oil and oil palm products will be the prior month's daily average price quoted by Bursa of Malaysia converted to US dollars for crude palm oil and other oil palm products. The determination of prices will be made public. If LIBINC Oil Palm Inc. enters into sale or service agreements with affiliated parties, LIBINC Oil Palm Inc. will provide copies of such sales/service contracts to the Liberian government for review. The Liberian government should determine within 90 days that the terms of such sales/services contracts are not in conformity with this contract, otherwise such contracts are deemed to comply.

During the 7 year rehabilitation term, LIBINC Oil Palm Inc. will pay an annual surface rental equal to US$1 per developed acre and US$0.50 per undeveloped acre. During the regular 43 year period, LIBINC Oil Palm Inc. will pay an annual surface rental equal to US$2 per developed acre and US$1 per undeveloped acre. All surface rentals will be adjusted once every five years to reflect the rate of the inflation in Liberia as indicated by the Liberian GDP Implicit Price Deflator, but such adjustment will not exceed 20 % of any 5 year period. All such rentals are payable annually in advance, on or before January 15th of the year for which payment is being made to the Ministry of Finance of Liberia.

Multi-lateral financial or development institutions, but not commercial banks, will be exempt from this withholding tax. LIBINC Oil Palm Inc. employment practices, including compensation and working conditions, will be in compliance with the laws of Liberia. Preference will be given at all levels of skilled positions to qualified Liberian citizens and when they become available the operation of LIBINC Oil Palm Inc. will be conducted primarily by Liberian citizens. LIBINC Oil Palm Inc. will hire Liberian citizens for at least 50% of the ten most senior management positions within 5 years after the contract comes into force, and at least 75% of such positions within 10 years after the contract comes into force. Appointment of a Liberian citizen to a particular position does not preclude subsequent employment of a non-Liberian national to the same position if the percentage requirements for employing Liberian citizens are met. Any compensation to the employees of LIBINC Oil Palm Inc. will be made in compliance with the laws of Liberia. The compensation will be the salary less the value of any goods or supplies advanced by LIBINC Oil Palm Inc. Such advanced goods and supplies will not include the value of any additional benefits, including, but not limited to, housing, medical care and education for the dependents of the employees or any other benefits provided by LIBINC Oil Palm Inc. as an incident of employment at the company.

LIBINC Oil Palm Inc. will give preference to goods produced in Liberia and services provided by Liberian residents provided that such goods and services are equal to or better than other comparable goods and services obtainable outside Liberia by the margin specified by the regulations under Public Procurement and Concessions Commission Act of 2005. LIBINC Oil Palm Inc. agrees to call attention of its major contractors to the policy of the Liberian government to encourage the purchase of Liberian goods and services. Subject to the foregoing, LIBINC Oil Palm Inc. may freely contract with any person.

The Liberian government and LIBINC Oil Palm Inc. will assist Liberian small land holders in the Outgrower's program, details of which will be included in the development plan. The Liberian government will provide additional public land up to 50,000 acres of which 25,000 acres or fifty per cent. will be used for the expansion purposes of LIBINC Oil Palm Inc. The remaining 25,000 acres will be used for the Outgrower's program provided that the quantity of the additional land cultivated by LIBINC Oil Palm Inc. will not exceed the amount of land cultivated for the Outgrower's program as reviewed every three years as of the date this contract came into force until all 50,000 of additional public land have been cultivated. LIBINC Oil Palm Inc. will plant 750 acres annually of the land dedicated to the Outgrower's program based upon the availability of additional external funds. LIBINC Oil Palm Inc. will provide reasonable support to Liberian small land holders participating in the Outgrower's program (i.e. the outgrowers) on a cost recovery basis, including, technical assistance, provision of equipment, fertilizers, processing capacity, sharing of expertise. LIBINC Oil Palm Inc. will establish close working relations with the outgrowers, including provision of palm oil seedlings of the most scientifically advanced type provided the cost of seedlings or the cost of managing them during gestation is borne by a third party donor. Such cost of seedlings or managing them may also be borne by the outgrower at a cost agreed with LIBINC Oil Palm Inc. on a prorated basis. LIBINC Oil Palm Inc. commits to purchase harvest from outgrowers in accordance with the terms of the contract.

LIBINC Oil Palm Inc. will practice modern public health in accordance with generally accepted health and sanitation procedures and laws of Liberia, will practice occupational safety procedures and precautions in accordance with generally accepted health and sanitation procedure and the laws of Liberia, and will ensure availability of medical treatment, care and attention in accordance with the laws of Liberia and national policies. It will also ensure clean water to all within the concession area. It will submit a detailed housing program for its employees to be approved by the Ministry of Public Works of Liberia before the commencement of the regular term or within 1 year from the expiry of the 7 year rehabilitation period, whichever is earlier. It will ensure the availability of elementary education at no cost for the dependents of its employees and will establish an adult literacy program for its employees and registered dependents.

Tribal reserves of land, especially areas deemed as sacred tribal land, that have been set aside for the communal use of any tribe within Liberia are excluded from the operation of the contract. Should any question arise as to the limit and extent of such reserves, such questions will be determined by the Liberian government. Within 12 months of the execution of the contract LIBINC Oil Palm Inc. agrees to conduct a socio-economic study to identify and demarcate tribal reserves and sacred grounds with no cost to the Liberian government. This condition extends to any future lands that may be granted to LIBINC Oil Palm Inc..

It is the objective of the government and LIBINC Oil Palm the operations shall be carried out in a manner that is consistent with the continuing economic and social viability of the centers of population which have formed and which may result from the operations. LIBINC Oil Palm Inc. will provide for the training of Liberian citizens in order to qualify them for management and other skilled positions required by its operations. LIBINC Oil Palm Inc. will provide necessary on-the-job training and utilize any measures, including scholarships for employees to pursue advanced studies, necessary for the progression of Liberian citizens into skilled positions in the company. LIBINC Oil Palm Inc. will prepare detailed plans and schedules for such training as parts of its reporting requirements under the contract.

LIBINC Oil Palm Inc. has the exclusive right to construct, install, maintain and/or repair infrastructure within the concession area after obtaining approval on design, location, size and environmental impact from the Liberian government. LIBINC Oil Palm Inc. also has the non-exclusive right to conduct and establish infrastructure outside the concession area subject to the laws of Liberia and prior approval of the Liberian government. All financing of infrastructure is done at LIBINC Oil Palm Inc's own expense. Upon termination of the contract, all non-movable assets in the concession area will become the property of the Liberian government without charge. Infrastructure constructed outside the concession area will, at all times, be public property.

LIBINC Oil Palm Inc. will be permitted to establish, manage and maintain a plant protection department for the purpose of maintaining law, order and security in the concession area and in other areas where LIBINC Oil Palm Inc. has or maintains property and assets through its own fully effective security source. When doing so LIBINC Oil Palm Inc. will be guided by the laws of Liberia and the 'Voluntary Principles on Security and Human Rights'. The members of the plant protection department must be specially trained and qualified. Members of the plant protection department will have: the power of detention and apprehension in accordance with the laws of Liberia and the contract; the power to search and exclude or evict unauthorized persons from the concession area and other areas of restricted access in accordance with the laws of Liberia. LIBINC Oil Palm Inc. must coordinate the activity of the plant protection department with law enforcement, and periodically report to the Ministry of Justice of Liberia on its activities.

Within 10 years of the contract coming into force, LIBINC Oil Palm Inc. shall cooperate with the government to explore the possibility of establishing manufacturing and/or processing facilities within Liberia which utilize crude palm oil or oil palm related products taking into consideration the prospects of such production and the impact of such production on the development of Liberia.

LIBINC Oil Palm will make an initial investment of at least $5,245,000 over the first 4 years of the concession. Details about the money invested will be included in the development plan. LIBINC Oil Palm will clear and plant at least 1,000 acres per year for the first 10 years of the concession and 2,000 acres per year after that, with the overall objective of planting the whole concession area. If LIBINC Oil Palm fails to comply with the planting and replanting requirements in Arts 6.6 and 6.7, without the government's prior approval, LIBINC Oil Palm shall forfeit all undeveloped and uncleared land. The forfeit could also be grounds for termination, if the government consults with LIBINC Oil Palm and provides an opportunity to fix the breach and LIBINC Oil Palm fails to do so within a reasonable time period.

التحكيم وتسوية المنازعات
Any dispute between the Liberian government and LIBINC Oil Palm Inc. arising out of or in relation to the contract will be settled by binding arbitration, unless specifically provided elsewhere in the contract for resolution by submission to an expert. The arbitration will be under the rules of the International Centre for Settlement of Investment Disputes (ICSID) effective on the date the contract comes into force. There will be three arbitrators. Arbitration proceedings will be held in English, in Washington, D.C. or such other place the parties mutually agree, subject to the approval of the Center and arbitral tribunal. The arbitral tribunal will determine how the costs of the proceedings (costs and fees incurred and imposed by the Centre and the arbitrators) are assessed between the two parties. Each party will pay for its own costs and attorney fees. Any procedural issue that can't be determined under the rules of ICSID will be determined under the governing law. The arbitrators, by majority vote, render a written decision and publicly state it within 3 months after the hearing has concluded. Any monetary award will be payable in dollars through a bank designated by the recipient and any award to LIBINC Oil Palm Inc. will not be subject to taxes and duties. Neither party will have liability for consequential damages or exemplary or punitive damages. Interest will be applied at a rate of LIBOR (London Interbank Offered Rate) plus one percentage point from the date of the award until satisfaction. If LIBOR is no longer reported, then another agreed substitute rate should be applied. If the decision of the arbitral tribunal is adverse to either party, the tribunal, in its discretion, may allow a grace period to cure defect or default, up to 180 days from the time that payment would have been required. The Liberian government waives any defense related to sovereign immunity. The right to refer a claim or dispute to arbitration will not be affected by the fact that either party has received partial compensation from another person for a loss or injury related to the claim or dispute. That person may participate in the proceedings. The award may contain orders such as specific performance, setoff, other equitable relief or monetary damage. The parties will take all actions necessary to completely fulfill the award, which is binding and enforceable against them. The consent to jurisdiction of ICSID will equally bind any successors or successors-in-interest to each party. Should ICSID be replaced by or functions transferred to another international organization, the parties will have the right to submit any dispute to that body for settlement. If ICSID ceases to exist without replacement, the parties may submit disputes to other centers mutually agreed upon. At all times, the right to arbitration is fully binding on both parties. LIBINC Oil Palm Inc. is authorized to continue operations consistent with the terms of the contract during the pendency of a decision of a referee or arbitral tribunal. At the request of either party and subject to approval by the other party, any matter can instead be referred to a single referee appointed by the Secretary General of ICSID. Referring the matter to a single referee does not apply to disputes arising out of provisions of the contract related to the grant of rights, conduct of operations, income taxation, surface rental, payments to Liberian government, financial reporting and currency; records, reports and inspection; termination; disposition of assets; governing law; periodic review and survival and severability provisions; unless the parties agree the dispute is not material. The decision of the referee will be final and binding unless appealed by either party to arbitrators who will examine the decision only as to manifest error of law, findings of fact not supported by credible evidence, and abuse of authority, misconduct or other unauthorized act by the referee.

LIBINC Oil Palm Inc. has the right to terminate the contract without cause at any time upon giving 365 days' notice of its intent to do so to the government. The Liberian government has the right to terminate the contract in case (i) LIBINC Oil Palm Inc. fails to comply with material obligations, e.g. failure to make acreage rental fee payment; failure to clear and plant the acreage; failure to invest; or violation of other clauses and failing to cure within 60 days or reasonable period after being notified; (ii) LIBINC Oil Palm Inc. makes an assignment of all or substantial assets to creditors, is under receivership or proceeds with bankruptcy or reorganization process; or (iii) LIBINC Oil Palm Inc. ceases the commercial production for 365 or more consecutive days unless such cessation is consented to by the Liberian government or in case of force majeure.

Trade secrets as generally accepted in oil palm industry will be designated as confidential and will be used only for the purpose for which they were obtained and will be maintained in confidence as to third parties by the Liberian government and its representatives, unless required by court. In such a case, the Liberian government will send notice to LIBINC Oil Palm Inc. in a timely manner so that LIBINC Oil Palm Inc. has an opportunity to intervene in the matter.

In case of a dispute among the parties the governing law will be the laws of Liberia, including any labor, environmental, health, safety, customs and tax statutes and any international treaties Liberia is a party to. When resolving a dispute the arbitral tribunal will construe and interpret the rights and obligations of the parties under the contract in accordance with the laws of Liberia.

In case of force majeure, the party that cannot perform its obligations will send notice to the other party as soon as practicable and such obligations will be suspended during the continuance of any inability so caused. Time periods specified in the contract including the term of the contract will be extended by the period of the time of inability caused by force majeure. LIBINC Oil Palm Inc. may terminate the contract without cause by sending notice to the Liberian government 60 days in advance in case the force majeure continues for 1 year or more. After the force majeure, inability to resume operation within 6 months will be ground for cancellation.

In the event of a conflict between this contract and any law of Liberia enacted after the contract came into force (except the Constitution of Liberia), the rights, duties and obligations of LIBINC Oil Palm Inc. and the Liberian government are the ones listed in the contract. To the extent that there is inconsistency between the tax corpus and this contract, this contract shall govern. All matters governed by the tax corpus and not referred to in the contract shall be governed by the tax corpus.
